Europe moves to regulate DeFi – ESMA defines what ‘genuinely decentralized’ means - AMBCrypto

Europe’s securities regulator, ESMA, is moving to bring decentralized finance (DeFi) into the regulatory perimeter — and in doing so, it is attempting to answer a question the industry has long left vague: what actually counts as “genuinely decentralized”? The distinction matters because projects deemed sufficiently decentralized may fall outside certain obligations under the EU’s MiCA framework, while those that are not could face the same rules as traditional financial intermediaries.
For the market, this is a structural development rather than a price catalyst. A clearer definition reduces legal ambiguity for builders and investors, but it also raises the bar: protocols with identifiable operators, admin keys, or concentrated governance may struggle to claim decentralization as a shield. The regulatory focus is shifting from the technology itself to who controls it.
What to watch: how ESMA’s criteria translate into national supervision, whether the guidance is applied consistently across member states, and how DeFi projects respond — through genuine decentralization, restructuring, or relocation. The broader trend is convergence: DeFi is being asked to meet standards long applied to conventional finance.
